These Terms of Service ("Terms") govern your access to and use of the Olam Funding LLC website at olamfunding.com (the "Site") and any related services, applications, and communications (collectively, the "Services"). By accessing or using the Site or the Services, or by submitting information through any form on the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.
Olam Funding LLC is a merchant cash advance ("MCA") funder. We purchase a specified amount of a business's future receivables in exchange for an upfront purchase price, on the terms set forth in a separate Receivables Purchase Agreement signed between Olam Funding and each merchant. An MCA is not a loan. Olam Funding is not a lender. Olam Funding does not extend credit and is not a "creditor" under the Truth in Lending Act.
You may use the Site only if you are at least eighteen (18) years old, are using the Site for lawful business purposes, and have the legal authority to enter into these Terms on behalf of yourself and any business you represent. You agree to provide accurate, current, and complete information when using any form on the Site, and to keep that information current. You agree not to: (a) use the Site or Services in any unlawful manner; (b) attempt to gain unauthorized access to any part of the Site, our systems, or other users' accounts; (c) interfere with the operation or security of the Site; (d) use any robot, scraper, or other automated means to access or collect data from the Site, except for publicly available content with our prior written consent; (e) reverse-engineer or attempt to derive source code from any portion of the Site; or (f) use the Site to transmit malicious code, harassing content, or content that infringes any third party's rights.
Submission of a funding application through the Site, by email, by telephone, or through any other channel does not create an offer, commitment, or contract to fund. All applications are subject to underwriting, verification, identity confirmation, anti-fraud checks, and final written approval by Olam Funding. We may decline any application in our sole discretion. We may request additional documentation, including business bank statements, voided checks, identification documents, and other items reasonably required for underwriting. Funding terms — including purchase price, purchased amount, specified percentage, daily or weekly remittance, and reconciliation — are set forth in the Receivables Purchase Agreement signed at closing and supersede any prior estimate, indication, or oral statement.
How you opt in. By checking the SMS consent box on the Olam Funding application form, ISO partner signup form, or contact form at olamfunding.com, you expressly consent to receive recurring SMS/text messages from Olam Funding LLC at the mobile number you provide. Consent is not a condition of any purchase, application, or approval.
What you will receive. Messages relate to your funding application, underwriting updates, account notifications, funding notifications, and customer care. Message frequency may vary.
Costs. Message and data rates may apply, depending on your mobile carrier and plan.
How to opt out. Reply STOP to any message at any time to unsubscribe. You will receive a confirmation message and no further texts.

Sharing. Mobile opt-in information and SMS consent will not be shared, sold, rented, or disclosed to any third parties or affiliates for marketing or promotional purposes. SMS opt-in data is not shared with third parties under any circumstances.

You consent to receive communications from us electronically, including by email, SMS, and through the Site, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that those communications be in writing. You further consent to the use of electronic signatures on agreements with Olam Funding, and you agree that an electronic signature has the same force and effect as a handwritten signature under the federal E-SIGN Act and applicable state electronic-transactions laws.
By submitting an application, you authorize Olam Funding and its agents and service providers to: (a) verify all information you provide; (b) obtain business and consumer credit reports and other underwriting data from any source; (c) contact your bank, processor, accountant, landlord, vendors, customers, and any references you provide; (d) verify your business operating status with state and federal records; and (e) share information with funding partners, syndicators, and service providers as described in our Privacy Policy.
If a Receivables Purchase Agreement requires a personal guaranty of performance, the guarantor agrees to be jointly and severally liable for the merchant's performance under the agreement, on the terms set forth in the guaranty itself. Nothing in these Terms creates a personal guaranty; a guaranty is created only by signing the separate guaranty document.
The Site and all content on it — including text, graphics, logos, the "Olam Funding" name and any related marks, photographs, software, code, and the selection and arrangement of content — are owned by Olam Funding LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws. You may view and download materials from the Site for your own non-commercial use only. Any other use, including reproduction, distribution, modification, public display, or creation of derivative works, requires our prior written consent.
If you submit any content to us through the Site or otherwise (including questions, feedback, testimonials, business information, or documents), you grant Olam Funding a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, and sublicensable license to use, copy, store, modify, and display that content in connection with our business, subject to our Privacy Policy. You represent that you have all rights necessary to grant this license and that the content does not violate any third party's rights or any applicable law.
The Site may contain links to third-party websites, products, or services. We do not control, endorse, or assume responsibility for any third-party content, products, or services, and your use of any third-party site or service is at your own risk and subject to that third party's terms and policies.
The Site and the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Olam Funding disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, and uninterrupted or error-free operation. We do not warrant that the Site will be secure or free of viruses or other harmful components, or that any information on the Site is current or accurate.
To the fullest extent permitted by law, Olam Funding and its members, managers, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or relating to your use of the Site or the Services, even if Olam Funding has been advised of the possibility of such damages. To the fullest extent permitted by law, the aggregate liability of Olam Funding for all claims arising out of or relating to the Site or the Services will not exceed one hundred U.S. dollars ($100). The foregoing limitations do not apply to liability that cannot be limited under applicable law.
You agree to indemnify, defend, and hold harmless Olam Funding and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or the Services; (b) your breach of these Terms; (c) your violation of any law or any third party's rights; or (d) any information you submit to us.
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The exclusive venue for any action arising out of or relating to these Terms or the Site is in the state or federal courts located in Kings County, New York, and you irrevocably consent to the personal jurisdiction of those courts. Disputes arising from a signed Receivables Purchase Agreement are governed by the dispute-resolution, governing-law, and venue provisions of that agreement, which control over this section.
The parties will first attempt in good faith to resolve any dispute relating to these Terms or the Site by informal negotiation. If a dispute is not resolved within thirty (30) days, either party may pursue available legal remedies, subject to the venue provision above. Nothing in this section limits either party's right to seek injunctive or other equitable relief in a court of competent jurisdiction.
We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice. Sections of these Terms that by their nature should survive termination — including intellectual property, no warranties, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous — will survive.
We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
These Terms (together with any signed agreement between you and Olam Funding, the Privacy Policy, and the Disclaimer) constitute the entire agreement between you and Olam Funding regarding the Site. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent. Headings are for convenience only and do not affect interpretation.
